1. Eligibility
- You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the capacity to form a binding contract to use the Services.
- You represent and warrant that you will use the Services in compliance with all applicable laws and regulations.
2. Account Registration
- Certain features may require you to create an account. You must provide accurate and complete information and keep this information updated.
- You are responsible for all activity under your account and must keep your login credentials confidential.
3. Services Description
- Moxn provides AI-assisted content management Services built on third-party infrastructures (e.g., Vercel, Clerk, Modal, Neon, S3/Google Cloud through Uploadthing, Tiptap, Sentry, Datadog).
- We reserve the right to modify, suspend, or discontinue the Services (in whole or in part) at any time without liability to you.
4. Use of the Services
- License Grant. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes.
- Restrictions. You agree not to:
- Violate any applicable laws, regulations, or these Terms;
- Upload or transmit any unlawful, harmful, infringing, or offensive content;
- Engage in automated data scraping or crawling of the Services except via documented and allowed APIs;
- Interfere with or disrupt the security or performance of the Services.
5. Content and Intellectual Property
- Your Content. You retain ownership of all content you upload or create within the Services. You grant Moxn a worldwide, non-exclusive license to host, process, transmit, and display your content solely to provide and improve the Services.
- Moxn’s IP. We (and/or our licensors) own all right, title, and interest in the Services, including all software, technology, and related intellectual property. You may not reverse engineer, decompile, or otherwise attempt to extract the source code of the Services except to the extent explicitly permitted by applicable law.
6. Confidentiality
- You may gain access to certain confidential or proprietary information through your use of the Services. You agree to only use such information as needed to use the Services and to not disclose it to third parties without our explicit written consent.
- This clause does not apply to information that is publicly available through no fault of your own or that you already possessed without obligation of confidentiality.
7. Third-Party Services
- The Services depend on or interact with services provided by third parties (e.g., cloud hosting providers, payment processors, AI providers). We are not liable for the practices, content, or failures of these third-party services.
- Your use of these third-party services may be subject to additional terms imposed by such third parties.
8. Disclaimer of Warranties
- AS IS Basis. The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not guarantee the accuracy, reliability, or completeness of any information provided through the Services.
- We do not warrant that the Services will be error-free, uninterrupted, or free of harmful components.
9. Limitation of Liability
- To the fullest extent permitted by law, Moxn, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Services.
- In no event will our total liability exceed the fees you paid (if any) to Moxn for accessing or using the Services in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Moxn, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any applicable law or regulation.
11. Termination
- We may suspend or terminate your access to the Services at any time for any reason, including your violation of these Terms.
- Upon termination, all licenses and rights granted to you in these Terms will immediately cease.
- Sections that by their nature should survive termination (e.g., Limitation of Liability, Indemnification) will remain in effect.
12. Governing Law and Disputes
- These Terms shall be governed by the laws of the State of [Relevant State], U.S.A., without regard to its conflict of laws principles.
- All disputes arising from these Terms shall be resolved in the state or federal courts located in [Relevant County, State], and you consent to personal jurisdiction and venue in those courts.

- Waiver and Severability. Any waiver of a breach must be in writing. If any provision of these Terms is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent.
